12. claim: the Seller agrees to accept the claim for discrepancies of the quality, quantity and / or specifications of the goods, which is not in conformity with the contract stipulations, but the seller is only responsible for compensation for the quality discrepancies resulting from poor manufacturing process or poor material quality.

The Seller shall not accept the claim or loss caused by improper installation or improper use.

A claim for objection must be provided by a well-known surveyor with a surveyor approved by the seller.

Claim for quality shall be lodged within 3 months after the arrival of the goods, and the claim for quantity and / or specification shall be lodged within 30 days after the arrival of the goods.

The seller will not accept all losses due to natural reasons or within the scope of liability of the ship or insurance company.

If the buyer fails to issue the letter of credit within the time limit stipulated in the contract, or if the letter of credit does not conform to the contract stipulations, the seller may cancel the contract or postpone delivery after receiving the seller's notice, and the seller may have the right to make a claim for compensation.

13. Force Majeure: the Seller shall not be held responsible for failing to deliver the goods on time or due to force majeure.

However, the seller must provide the buyer with the certificate issued by the China Council for the promotion of international trade or other relevant institutions.

14. Arbitration: All disputes arising from the execution of this contract or any matter relating to this contract shall be settled through friendly negotiation between the two parties.

If no agreement can be reached, arbitration shall be conducted in the defendant country according to the arbitration procedure rules of the national arbitration agency of the defendant.

The arbitral award is final and binding on both parties.

Arbitration fees shall be borne by the losing party unless otherwise awarded by the arbitration organization.

15. other: any change and increase in this contract shall be valid only after the written agreement is signed by both parties. Neither party shall have the right to assign the rights and obligations under this contract to the third party without obtaining the written consent of the other party.
