In accordance with the principle of mutual benefit and mutual development, the two sides, after friendly consultation, decide to make full use of their respective advantages and complement each other, and cooperate on the project of Chinese hotel management and brand joining.

Article 1, development projects and scope

According to the requirements of Party A, develop hotel customers to join the hosting of Caravanserai Hotel brand.

Third ways of cooperation

1, both sides undertake the cost of development projects separately.

2, Party B's negotiations with foreign countries shall be carried out in the name of Party A. Party A shall provide a unified business card for Party B. Party B shall not have the right to sign any documents with legal liability on behalf of Party A.

Fourth, profit distribution

1, profit definition: management fee income.

2, distribution mode: the profits of both parties are divided into 5:5 according to their profits.

Fifth, exemption

If the third party causes or irresistible factors lead to the termination of the project, Party A and B shall not be liable.

Article sixth, liability for breach of contract

Party A and B undertake respective tasks of cooperation. If any party breaches the contract and causes economic loss or nominal damage to the other party, the breach party shall bear full liability for compensation.

Seventh, notice of termination

Each party has the right to terminate this agreement, without giving reasons, but should notify the other party 7 days ahead of schedule.

Eighth,

All information provided by Party A and B can only be used for this business. Both parties shall regard the information provided by the other party as confidential documents.

Ninth,

During the specific cooperation projects, all exchanges, dialogues, agreements and pactions need to be carried out by both parties.

No party shall sign any agreement and conclude any paction without knowing the other party.

Tenth, others

The unsettled matters will be settled through negotiation between this Agreement and Party A.

Eleventh,

This agreement is made in two copies and one party B holds one copy, which will become effective after signature by Party A.
