1. Outline of the signing of the framework agreement

In September 25, 2019, the company held a preliminary consultation with Beijing Jinsheng Investment Center (limited partnership) on the acquisition of shares in Jincheng pharmaceutical Limited by Share Ltd (hereinafter referred to as "Jincheng medicine" and "target company"), and signed the "framework agreement for the acquisition of Jincheng medicine Limited by Share Ltd shares" by the German exhibition great health Limited by Share Ltd and Beijing Jinsheng Investment Center (limited partnership) (hereinafter referred to as the framework agreement). Two. Progress of framework agreement

The framework agreement is valid until November 4, 2019, but the two sides still have the intention to continue to promote the acquisition transaction. In order to continue to promote acquisition transactions in accordance with the framework agreement, the two sides negotiated a supplementary agreement on the framework agreement for the acquisition of Jincheng medicine Limited by Share Ltd (hereinafter referred to as the "supplementary agreement") to abide by it. The main contents of the supplementary agreement are as follows:

Party A: Germany exhibition great health Limited by Share Ltd (hereinafter referred to as "Germany exhibition health")

Party B: Beijing Jinsheng Investment Center (limited partnership)

(1) the second paragraph of the sixth article of the framework agreement is adjusted to "the effective period of this framework agreement to January 4, 2020."

(two) if the supplementary agreement is inconsistent with the framework agreement, the supplementary agreement shall prevail; if the supplementary agreement is not agreed, the framework agreement shall prevail.

(three) this supplementary agreement takes effect after signing and sealing the two parties and performing internal examination and approval procedures.

(four) the supplemental agreement is free. Each side holds two copies and has the same legal effect.
