Under the terms and conditions of the terms and conditions of the subscription agreement, the undertaker has made an individual but not a common consent to subscribe or pay, or to promote the subscription and payment of ANLLIAN Capital, which will issue a total of 1 billion euros of the principal amount, and the company has unconditionally and irrevocably guaranteed ANLLIAN Capital to pay all the money that is clearly payable under the trust deed and bond. The maturity date of the bond is zero coupon and non interest bearing on or after February 5, 2025.

Bonds can be converted into convertible shares based on those conditions. According to the initial change of share price of HK $105.28 per share (adjusted) and assuming that the bond has been converted in full, the bond will be converted into 82 million 129 thousand and 560 share swap, which is equivalent to about 3.04% of the issued share capital of the company on that notice date and about 2.95% of the issued share capital of the company after the issuance of the relevant share swap.

The initial change in share price is HK $105.28 per share, which is 40% higher than the closing price of HK $75.20 in January 13th.

The total proceeds from bond issuance amounted to 1 billion 2 million 500 thousand euros. The company intends to use the proceeds as an existing debt to raise funds, working capital and other general corporate purposes.

The company said that bond issuance could provide additional funds for the company to repay its existing debt at lower cost and optimize its financial structure, further enhance its working capital and possibly strengthen its capital stock base.
