What are the procedures and steps of foreign capital mergers and acquisitions?
According to the Interim Provisions on foreign investors' acquisition of domestic enterprises, foreign mergers and acquisitions are generally divided into the following steps:
一、盡職調(diào)查：在這個(gè)階段，律師主要代理境外投資者對境內(nèi)企業(yè)的主體資格、債權(quán)債務(wù)關(guān)系、資產(chǎn)的合法性進(jìn)行核查。
二、參與談判：由于境外投資者對中國的法律法規(guī)、市場狀況不熟悉，所以在價(jià)格策略上很難做到有的放矢、擊中對方弱點(diǎn)。律師參與談判可以為境外投資者爭取價(jià)格上的回旋余地。
三、并購協(xié)議設(shè)計(jì)：在大的框架通過談判敲定之后，要通過并購協(xié)議來落實(shí)一些細(xì)節(jié)問題，如股權(quán)轉(zhuǎn)讓如何實(shí)施，企業(yè)職工如何安置，報(bào)批職責(zé)分工及付款進(jìn)度等。
四、合資合同及公司章程設(shè)計(jì)：一般外商投資服務(wù)中心會提供相應(yīng)的范本，但合同和章程是今后合資企業(yè)運(yùn)作的綱領(lǐng)，必須給予高度重視，要充分考慮各方股東的權(quán)利、利益和責(zé)任，以及公司管理的科學(xué)性、運(yùn)作效率等多方面的因素。
