In accordance with the principle of equality, voluntariness and mutual benefit, the following contracts shall be concluded through friendly negotiation between the two parties.

Party A's responsibility:

Party A is responsible for training and technical guidance for Party B's related staff.

Party A shall have the right to supervise and manage the marketing work carried out by Party B.

Two, Party B's responsibility:

1, Party B shall cooperate with Party A in developing, building and developing the market. Party B shall abide by the price management principles of Party A.

2 Party B shall obey Party A's direction of operation to coordinate the national market.

3, Party B shall keep the customer information, such as customer's name, address, telephone, etc., and market sales information and deliver them regularly to Party A, so as to facilitate Party A's analysis of the market and better grasp the market dynamics.

4, Party B has the responsibility to protect technology and business secrets for Party A, without Party A's consent, without any form or through any way to arbitrarily leak or pfer to non contract parties.

After the termination of the contract, Party B shall not divulge Party A's business secrets, nor shall there be any act of destroying the products and reputation of Party A.

Three, the mode of settlement and pportation costs:

Party A shall settle the cash settlement and payment to the delivery one time at a time, and the pportation cost shall be borne by Party B.

Four, return and exchange:

1. Party B shall not return the quality of non Party A.

2, Party B shall replace the product with the limit of the year (the starting date is the date of payment by Party B), and Party A shall not replace it in the next year.

Five. Changes and termination of contracts:

1, because subjective and objective factors need to be changed, contracts must be negotiated between Party A and Party B.

2. Any party entering bankruptcy or liquidation shall have the right to terminate the contract immediately.

Six, liability for breach of contract:

If a party or Party B has any breach of contract, it shall compensate the party for direct and indirect economic losses arising therefrom.

Seven, the way to resolve disputes:

Any dispute arising from the execution of this contract shall be settled through consultation between Party A and Party B. If the negotiation fails, it shall be submitted to the Beijing arbitration agency for arbitration and the final arbitration result shall be binding upon both parties.

Eight. The validity of the contract:

This contract is valid for one year, and signed by the legal representative of Party A and Party B, and shall become effective after the official seal is signed.

Supplementary documents can be concluded through consultation between the parties concerned.

All supplementary documents and systems related to this contract shall be regarded as an integral part of this contract and shall have the same legal effect.

The renewal of this contract is negotiated between the two parties within one month before the expiration of the contract.
