Format of data confidentiality protocol

First party：

Party B:

The two sides agreed on an equal consultation basis.

1. content and scope of confidentiality

(1) Party A's specific information, including Party A's use of XToolsCRM in Party B

(2) providing confidential information in direct, indirect, oral or written form.

2. rights and obligations of the two parties

(1) Party B should consciously protect the interests of Party A and strictly abide by the confidentiality provisions of the client.

(2) Party B shall not disclose any commercial secrets to any unit or individual.

(3) Party B shall not make use of the business secrets he has mastered to gain private benefits.

(4) Party B understands and acknowledges that through the system, Party A will maintain commercial value information (confidential information) on the server of XToolsCRM, and because of technical services and other reasons, Party B may access these data in some cases.

Party B acknowledges that if these data are not disclosed to others without permission, Party A may suffer losses.

(5) Party B agrees and promises that all confidential information shall be strictly confidential and shall not be disclosed to any other person or institution without Party A's prior permission.

(6) Party B agrees and promises that Party B can not delete any confidential information on the server without any reservation after any service is terminated.

Meanwhile, Party B guarantees to return any documents or materials containing confidential information on the server of Party A (if any).

3. the obligation of confidentiality under this Agreement does not apply to the following information: (I) it is not known to the public for reasons of Party B; (II) the information is not subject to the obligation of confidentiality due to information obtained by others from other channels of Party B; (III) information disclosed by the application of the law and the requirements of the court or other authorities.

This Agreement shall come into force on the date of signature.
