　　This is a non-binding letter of intent that contains provisions that are being discussed for a possible sale of the Business named above from the possible Seller named above to the possible Buyer named above. This is not a contract. This is not a legally binding agreement. This is merely an outline of possible contract terms for discussion purposes only. This is being signed in order to enable the Possible Buyer to apply for financing of the purchase price. This letter of intent is confidential and shall not be disclosed to anyone other than the parties and their employees, attorneys and accountants and the possible lenders of the Possible Buyer. The terms of the paction being discussed are attached hereto, but the terms (and the possible sale itself) are not binding unless and until they are set forth in a written contract signed by Possible Seller and Possible Buyer. The word "shall" is used in the attached terms only as an example of how a contract might read, and it does not mean that the attac

hed terms are or ever will be legally binding.

本意向書には拘束力がなく、含まれる條項は上記の潛在的な売り手と買い手が発生する可能性のある取引（ここでは「資産譲渡」を指すべき）について協(xié)議する必要があります。

本意向書はいかなる契約、または法的拘束力を有する合意と見なすべきではなく、協(xié)議の目的だけで締結(jié)された本意向書の項目下で達(dá)成可能な契約に関する條項の概要と見なすべきである。

意図的に本に署名する目的は、潛在的な買い手のために価格を買って資金を調(diào)達(dá)することです。

雙方は本意向書の內(nèi)容の秘密保持に対応し、かつ本意向書の條項の下で雙方とその従業(yè)員、弁護士、會計士及び潛在的買い手の潛在的貸付先を除き、いかなる第三者にも漏らしてはならない。

今回の協(xié)議の取引條項は添付されていますが、潛在的な売買雙方が書面による?yún)f(xié)議を締結(jié)するまでは、これらの條項（および潛在的な売り手自身）には拘束力がありません。

添付の條項の中で「すべき」という言葉は契約書のためだけ読む慣例であり、添付の條項に従って法的拘束力を持つか、或いは持つべきかを意味しない。
