10.品質(zhì)/數(shù)量異議(Quality/Quautity discrepancy)：

買い手がクレームを出す場(chǎng)合、品質(zhì)異議は目的港に到著した日から30日間以內(nèi)に提出しなければなりません。所屬數(shù)量の異議は目的港に到著した日から15日間以內(nèi)に提出しなければなりません。積み込まれた貨物に対していかなる異議を申し立てても、保険會(huì)社、汽船會(huì)社、その他の関連運(yùn)輸機(jī)関または郵送機(jī)構(gòu)の責(zé)任者に対しては、売り手は一切の責(zé)任を負(fù)いません。

　　In case of quality discrepancy， claim should be filed by the Buyer within 30 days after the arrival of the goods at port of destination， while for quantity discrepancy， claim should be filed by the Buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable for any discrepancy of the goods shipped due to causes for which the Insurance Company， Shipping Company， other Transportation Organization /or Post Office are liable.

11.人力不可抗力が発生したため、本契約は履行できなくなり、一部または全部の商品は納品遅延になりました。売り手は一切責(zé)任を負(fù)いません。

本契約で指す不可抗力は介入不可、避けられず、かつ克服できない客観的な狀況を指す。

The Seller share not be held reponsible for failure or delay in delivery of the ntire lot or a portion of the goods under this Sales Contact in consequence of any Force Majece indenture which might occur.Force。

12.仲裁（Abitration）：

本契約による紛爭(zhēng)または本契約に関するいかなる紛爭(zhēng)についても、協(xié)議が解決できない場(chǎng)合、中國(guó)國(guó)際経済貿(mào)易仲裁委員會(huì)深セン分會(huì)に提出しなければならない。

仲裁を申請(qǐng)する時(shí)、その時(shí)施行された仲裁規(guī)則に従って仲裁を行います。

仲裁判斷は最終的なもので、雙方に拘束力がある。
